Why is it described as semi flush if it sits on the ceiling?
Because there's a small gap between the fitting and ceiling for ventilation and to allow the frame to show. A true flush fitting would be completely flat.

If you use dimmable bulbs and install a dimmer switch, yes. The fitting itself has no electronic dimming, but dimmable LED bulbs will work with a compatible dimmer.
